Terms of Service

1. The service

Zypuh, Inc. (“Zypuh”) operates an online marketplace that connects buyers (restaurants, grocers, bodegas, and other businesses) with sellers (farms and producers) and arranges delivery through partner delivery companies. Zypuh is not the seller of any farm product unless explicitly identified as such. Each sale is a direct transaction between buyer and seller; Zypuh acts as the marketplace and payments processor.

2. Eligibility

• You must be at least 18 years old.
• You must be authorized to bind the business on whose behalf you are registering.
• Sellers must be lawfully permitted to sell agricultural products in the jurisdictions where their farms operate and where their buyers receive deliveries.

3. Accounts

You are responsible for keeping your password confidential and for everything that happens on your account. Notify us immediately at support@zypuh.com if you believe your account has been compromised.

4. Orders, pricing, and payment

• Prices, units of sale, and product availability are set by sellers and may change at any time. The price shown at checkout is the price you pay.
• Zypuh charges a service fee, a small flat fee, and (where applicable) a delivery fee at checkout. Fees are disclosed before you confirm the order.
• Card payments are processed by Stripe. By placing an order, you authorize us to charge your selected payment method for the full order total.
• Net-30 terms, if extended to your account, are subject to credit review and may be revoked at our discretion.

5. Delivery, pickup, and quality

• Delivery windows are estimates. We will use commercially reasonable efforts to meet them but do not guarantee a specific arrival time.
• Inspect produce at delivery. Report damaged, missing, or non-conforming items within 24 hours via the order page or to support@zypuh.com. We'll work with you and the seller on a credit, replacement, or refund.
• Pickup orders not collected within the seller's stated window may be forfeited without refund.

6. Seller obligations

If you list products on Zypuh, you agree to:

• Accurately describe what you are selling — origin, variety, unit, weight, and any organic or other certifications.
• Maintain food-safety practices that meet or exceed applicable state and federal requirements.
• Promptly fulfill confirmed orders and notify buyers as soon as possible if you cannot.
• Honor pricing shown to the buyer at checkout — pricing changes mid-order are not permitted.
• Pay applicable sales and use taxes for your jurisdiction.

7. Recalls and food safety

If a product you sold or purchased becomes subject to an FDA, USDA, or state recall, you must cooperate with the recall process. Sellers must notify affected buyers without delay. Buyers must isolate recalled product and follow return instructions. Zypuh may suspend listings to facilitate compliance.

8. Prohibited uses

You may not:

• Resell Zypuh purchases outside the ordinary course of your business.
• List products you are not legally authorized to sell.
• List adulterated, mislabeled, or unsafe food.
• Use the platform to defraud, harass, discriminate, or violate any law.
• Reverse-engineer, scrape, or interfere with the service.

9. Intellectual property

Zypuh and its logo are trademarks of Zypuh, Inc. You retain ownership of the content you upload (product photos, descriptions). By uploading, you grant Zypuh a non-exclusive, royalty-free license to display, distribute, and promote that content as part of operating the marketplace.

10. Disclaimers

The service is provided “as is.” Zypuh does not warrant that the service will be uninterrupted, error-free, or that any product will meet your specific needs. Quality, fitness, and condition of produce are the seller's responsibility. To the maximum extent allowed by law, Zypuh disclaims all implied warranties, including merchantability and fitness for a particular purpose.

11. Limitation of liability

To the maximum extent allowed by law, Zypuh's total liability for any claim arising from your use of the service is limited to the fees you paid to Zypuh in the 12 months preceding the claim. Zypuh is not liable for indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold Zypuh harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your sale or purchase of any product through the platform.

13. Termination

You may close your account at any time from the profile page. We may suspend or terminate accounts that violate these Terms, that pose a safety or fraud risk, or that have been inactive for an extended period. Outstanding orders and payment obligations survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Philadelphia County, Pennsylvania, and you consent to jurisdiction there. Both parties waive any right to a jury trial.

15. Changes to these Terms

We may update these Terms as the product changes. Material changes will be announced by email and in-app at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
