1. Relationship
This Seller Agreement (“Agreement”) is between you (the “Seller”) and Zypuh, Inc. (“Zypuh”). By listing products on the Zypuh marketplace, you agree to these terms in addition to the general Terms of Service.
You are an independent seller, not an employee, agent, or franchisee of Zypuh. Each sale is a direct transaction between you and the buyer. Zypuh acts as the marketplace operator and payment facilitator.
2. Eligibility
- You must be a lawfully operating farm, producer, or food business.
- You must hold all permits and licenses required in your jurisdiction to sell agricultural products.
- You must be able to accept payments via Stripe Connect (Zypuh's payment processor).
3. Listings
You are responsible for the accuracy of your product listings, including:
- Product name, variety, and description
- Unit of sale (lb, case, bunch, each, etc.)
- Price per unit
- Available quantity (real-time stock)
- Organic, GAP, or other certifications (only if verifiable)
- Photos that accurately represent the product
Zypuh may remove or suspend listings that are inaccurate, misleading, or violate food-safety regulations.
4. Orders and fulfillment
- When a buyer places an order, you receive a notification and must confirm or decline within 24 hours.
- Confirmed orders must be prepared and made available for pickup or delivery within the agreed window.
- If you cannot fulfill an order (stock-out, quality issue), notify the buyer and Zypuh immediately.
- Repeated failure to fulfill confirmed orders may result in account suspension.
5. Pricing
You set your own prices. Zypuh does not dictate pricing. However, the price shown to the buyer at checkout is binding — you may not charge a different amount after confirmation.
You may update prices at any time for future orders. Price changes do not affect orders already confirmed.
6. Fees and payouts
- Zypuh charges a marketplace commission on each sale (disclosed during seller onboarding).
- Stripe payment processing fees are deducted from the payout.
- Payouts are deposited to your connected Stripe account, typically within 2 business days of order delivery.
- Payout schedules and fee rates may be updated with 30 days notice.
7. Quality and food safety
- All products must meet applicable FDA, USDA, and state food-safety standards.
- You must maintain proper cold chain for perishable items.
- If a product is subject to a recall, you must immediately notify Zypuh and affected buyers, and cooperate with the recall process.
- Zypuh may request documentation of certifications, inspections, or test results at any time.
8. Intellectual property
You retain ownership of your product photos, descriptions, and branding. By listing on Zypuh, you grant us a non-exclusive, royalty-free license to display and promote your products on the marketplace, in marketing materials, and on social media.
9. Termination
Either party may terminate this Agreement with 30 days written notice. Zypuh may immediately suspend your account for serious violations (food safety, fraud, repeated non-fulfillment). Outstanding orders and payment obligations survive termination.
